Audit rights
A licensor’s right to verify that a licensee is using data only as agreed — for example, confirming which models were trained on it or that deletion obligations were met.
Mechanisms include periodic usage reports, records inspection on notice, and third-party audits, usually capped in frequency. Verification in training deals is genuinely hard — a model cannot be inspected to list its training data — so audits lean on records, attestations, and deletion certificates. Provenance and fingerprinting tools supplement them.
Why it matters
Reporting the owner can audit is the enforcement half of any revenue-share or usage-limited deal.
