Warranty
A supplier’s contractual assurance that stated facts about the data are true — that they own it, that consents were obtained, that it matches its description. A breach gives the buyer a legal claim.
Typically warranted: ownership or authority to license, consents and releases obtained, no known claims, and the accuracy of the data card description. Negotiation qualifies them — knowledge qualifiers, caps, and time limits shift risk between the parties. Breach gives the buyer a damages or indemnity claim.
Why it matters
Warranties convert a supplier’s documentation — chain of title, releases — into contract-grade assurance.
