1. Parties and purpose

This Contributor Licensing Agreement (the "Agreement") is between fiund ("fiund", "we") and you, the account holder signing below ("you", the "Contributor"). It governs content you submit through the fiund contributor portal for licensing to AI teams ("Buyers").

2. License grant — non-exclusive by default

You grant fiund a non-exclusive, worldwide license to host, process, catalog, excerpt, annotate, and sublicense your submitted content to Buyers solely for the training, fine-tuning, evaluation, and development of artificial-intelligence models, under written license agreements.

This grant is NON-EXCLUSIVE. You remain free to license the same content elsewhere, unless you and fiund separately agree in writing to an exclusive arrangement for specific content — priced accordingly.

You retain full ownership of your content. Nothing in this Agreement transfers ownership.

3. Your approval of deals

Before your content is included in a licensed dataset, fiund will present you with the deal terms (buyer category, scope of use, term, and your payment). No license of your content is granted to a Buyer without your approval of those terms.

4. Revenue share and payment

For each license of a dataset that includes your content, fiund pays you the revenue share recorded on your account and confirmed to you in writing with each deal’s terms before you approve it.

Payment is due to you within 30 days of fiund receiving the Buyer’s corresponding payment. Submitting content does not by itself generate payment.

Before your first payout you must complete payment setup in the portal, including the applicable tax form (W-9 for US persons; W-8BEN or W-8BEN-E otherwise).

5. Your representations and warranties

You represent and warrant that: (a) you own the submitted content or control all rights necessary to grant the license above; (b) the content does not infringe any third party’s intellectual-property, privacy, publicity, or contractual rights; (c) no submitted content is subject to a conflicting exclusive license; (d) where the content contains identifiable people beyond yourself, you have the releases or rights needed for AI-training licensing, or will accurately disclose their absence in your survey responses; and (e) the ownership and rights information you provide in the portal is accurate.

6. Withdrawal and takedown

You may withdraw any of your content from the marketplace at any time with 30 days’ written notice (or by deleting it in the portal). Withdrawal stops all future licensing of that content.

Withdrawal does not rescind licenses already granted to Buyers with your approval before the withdrawal date; those run their course under their own terms, and you continue to receive your share of any payments from them.

fiund may remove content that it reasonably believes breaches Section 5 or applicable law, and will notify you when it does.

7. Term and termination

This Agreement runs until either party terminates it with 30 days’ written notice. On termination, your unlicensed content is removed from the marketplace and, on request, deleted from storage. Sections 4 (for amounts owed), 5, 6, 8, and 9 survive termination, as do Buyer licenses you approved before termination.

8. Indemnity and liability

You will indemnify fiund and its Buyers against third-party claims arising from your breach of Section 5.

Neither party is liable to the other for indirect, incidental, special, consequential, or punitive damages. fiund’s total liability under this Agreement is limited to the amounts payable to you under Section 4.

9. General

This Agreement is governed by the laws of the State of Arizona, USA; disputes are subject to the state or federal courts of Maricopa County, Arizona. It is the entire agreement about its subject matter and supersedes prior discussions. fiund may update this Agreement for future submissions; changes never apply retroactively to content you already submitted without your consent. Your electronic signature below has the same effect as a handwritten signature.
